Opensolr SRL β€” Terms and Conditions Governing your use of the Opensolr platform, services, and APIs

Please read these Terms and Conditions carefully before using the Opensolr platform. By creating an account or using any part of the Service, you agree to be bound by these terms.

1 Definitions

In these Terms and Conditions, unless the context requires otherwise:

"Service"The Opensolr platform, including the website at opensolr.com, the Opensolr Control Panel, all hosted Solr indexes, Resilient Clusters, Web Crawler, Server Management, REST APIs, and any related tools, features, or services provided by Opensolr.
"User", "you", "your"Any individual or legal entity that accesses or uses the Service, whether through a free trial or a paid subscription.
"Account"Your registered Opensolr user account, including all associated credentials, API keys, indexes, clusters, and configurations.
"Content"All data, documents, configuration files, schemas, and other materials that you upload, index, transmit, or store through the Service.
"Opensolr Index"A hosted Apache Solr index provisioned and managed through the Service.
"Team"A group of registered Opensolr users authorised by an Account holder to view and manage indexes within that Account.
"MSA"A Master Service Agreement or other written agreement between you and Opensolr that supplements or supersedes specific provisions of these Terms.

2 Acceptance of Terms and Modifications

2.1  By creating an Account, accessing the Service, or using any part of the Opensolr platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

2.2  Opensolr reserves the right to update or modify these Terms at any time. Opensolr is under no obligation to send emails or otherwise individually notify users about changes to these Terms. All changes to the Service, including changes to these Terms, are published in the Opensolr Changelog and the Opensolr RSS Feed. You are encouraged to subscribe to these resources and review them regularly. Continued use of the Service after the effective date of any modification constitutes your acceptance of the updated Terms.

2.3  Any new features, tools, or resources added to the Service shall be subject to these Terms. The most current version is always available at opensolr.com/terms-and-conditions.

2.4  If a separate MSA or written agreement exists between you and Opensolr, the terms of that agreement shall prevail over these Terms to the extent of any conflict.

3 Account Registration and Eligibility

3.1  You must be at least sixteen (16) years of age to use the Service. By creating an Account, you represent that you meet this requirement.

3.2  Accounts must be registered by a natural person. Accounts created by automated methods (bots, scripts, or other programmatic means) are not permitted and may be terminated without notice.

3.3  You must provide a valid email address and accurate information during the registration process. You agree to keep your Account information current.

3.4  You are responsible for maintaining the confidentiality and security of your Account credentials, including your password and API key. We strongly recommend enabling Two-Factor Authentication. Opensolr shall not be liable for any loss or damage arising from your failure to safeguard your Account credentials.

3.5  You are responsible for all Content posted, all activity that occurs, and all API requests made under your Account, whether authorised by you or not.

3.6  You are solely responsible for your own Solr implementation, including integration with any CMS, application, or third-party system.

4 Teams and Access Management

4.1  Opensolr allows Account holders to create Teams by inviting other registered Opensolr users to view and manage indexes within their Account.

4.2  The Account holder remains fully responsible for all actions performed by Team members within their Account, including any changes to indexes, configurations, or billing.

4.3  Team members may be added or removed at any time by the Account holder through the Opensolr Control Panel.

5 The Service

5.1 — Service Description

Opensolr provides managed Apache Solr hosting, including but not limited to: provisioning and management of Solr indexes and Resilient Clusters, a web-based Control Panel, configuration file management, data backup and restoration, Web Crawler, Server Management, REST APIs, AI and NLP features, analytics, and related tools.

5.2 — Service Level

Opensolr provides the following service level commitments:

For customers with a separate MSA, the service levels defined in that agreement shall apply instead.

5.3 — Support

A basic level of support is provided to all users for platform-related questions (account management, billing, connectivity, and general guidance). Technical Solr-specific support β€” including schema optimisation, query tuning, and custom configuration β€” is available as a paid consultancy service. 5.4 — Third-Party Infrastructure

You acknowledge that Opensolr uses third-party vendors and hosting partners (including, but not limited to, AWS and Hetzner AG) to provide the hardware, software, networking, storage, and related technology required to operate the Service. Opensolr is not liable for outages, interruptions, or performance degradation caused by these third-party providers.

5.5 — No Warranties

Except as expressly stated in Section 5.2, the Service is provided on an "as is" and "as available" basis. Opensolr does not warrant that:

  1. the Service will meet your specific requirements;
  2. the Service will be uninterrupted, timely, or error-free;
  3. the results obtained from the use of the Service will be accurate or reliable; or
  4. any defects in the Service will be corrected within a particular timeframe.

6 Acceptable Use Policy

You agree not to use the Service to:

  1. engage in any activity that is illegal or unauthorised under applicable law, including but not limited to copyright, trademark, or data protection laws;
  2. upload, store, index, or transmit any Content that is unlawful, defamatory, obscene, pornographic, racist, threatening, or otherwise objectionable;
  3. upload, transmit, or distribute any viruses, worms, malware, or other code of a destructive or disruptive nature;
  4. send, facilitate, or enable unsolicited bulk communications (spam) of any kind;
  5. attempt to gain unauthorised access to the Service, other users' accounts, or any systems or networks connected to the Service;
  6. interfere with or disrupt the integrity or performance of the Service, including through excessive API requests that degrade service for other users;
  7. reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without express written permission from Opensolr; or
  8. modify another website or service so as to falsely imply an association with Opensolr.

6.2  If your resource usage (bandwidth, CPU, disk I/O, or API requests) significantly exceeds the limits of your plan or causes degradation for other users, Opensolr reserves the right to throttle, suspend, or require an upgrade of your Account, with reasonable notice where practicable.

6.3  Violation of this Acceptable Use Policy may result in suspension or termination of your Account in accordance with Section 9.

7 Payment, Billing, and Subscriptions

7.1 — Free Trial

New users may register for a free trial Account. No credit card is required. Free trial Accounts are subject to resource limits as published on the Pricing Page and carry no uptime or support guarantees.

7.2 — Paid Subscriptions

Upon subscribing to a paid plan, or at the conclusion of your free trial (if applicable), you will be billed for the upcoming period of service at the rate displayed at the time of purchase.

7.3 — Payment Processing

All payments are processed through Stripe, our authorised payment processor, unless otherwise agreed in a separate MSA. No payment card numbers or financial credentials are stored on Opensolr servers.

7.4 — Upgrades and Downgrades

You may upgrade or downgrade your plan at any time through the Pricing Page. All changes are pro-rated: you are charged or credited only for the difference based on the unused portion of your current billing period. Changes take effect within five to ten (5–10) minutes.

When you downgrade to a lower plan, the features, resource limits, and support level of that lower plan apply immediately.

7.5 — Taxes

All fees are exclusive of applicable taxes, levies, or duties imposed by taxing authorities. You are responsible for the payment of all such taxes, except where Opensolr is legally required to collect and remit them on your behalf.

7.6 — Renewal and Late Payment

Subscriptions renew automatically at the end of each billing period. Opensolr will attempt to charge your payment method on file and will send a notification if payment fails.

Renewal payments must be completed within fifteen (15) days of the invoice due date (unless otherwise specified in a separate MSA). Failure to pay within this period may result in suspension of service and, after an additional fifteen (15) days without payment, termination of your Account and permanent deletion of associated data. Opensolr will make reasonable efforts to notify you before any data deletion occurs.

7.7 — Yearly Subscriptions

If you are on a yearly subscription, you must notify Opensolr of your intention to cancel at least thirty (30) calendar days before the subscription renewal date. Failure to provide timely cancellation notice will result in automatic renewal for a subsequent annual term.

8 Refunds and Chargebacks

8.1  Refunds are available for new accounts only (no prior paid orders) and only within the first ten (10) days of the initial paid subscription.

8.2  Outside of the refund window described in Section 8.1, all purchases are final. When you cancel a subscription, unused days are converted to account credit that may be applied toward future upgrades or renewals.

8.3  If you believe a charge is incorrect, please contact support@opensolr.com before initiating a chargeback with your bank or payment provider. Resolving billing disputes directly allows for faster resolution and avoids complications that may delay any applicable refund.

9 Cancellation, Termination, and Suspension

9.1 — Cancellation by You

You may cancel your subscription at any time through the Opensolr Control Panel under Billing, or by contacting help@opensolr.com. Cancellation takes effect immediately. You will not be charged for subsequent billing periods. Unused days are converted to account credit in accordance with Section 8.2.

Upon cancellation, all Content associated with your Account β€” including indexes, configurations, and stored data β€” will be permanently deleted. This data cannot be recovered once deletion is complete. We recommend downloading any backups you need before cancelling.

9.2 — Free Trial Accounts

Free trial Accounts carry no service guarantee. Opensolr reserves the right to remove indexes, configurations, and data associated with inactive free trial Accounts β€” defined as Accounts where none of the following has occurred for more than thirty (30) consecutive days:

  1. logging into your Opensolr Account;
  2. inserting, updating, or deleting data in an index;
  3. modifying index configuration files; or
  4. performing search or API requests against an index.

9.3 — Termination or Suspension by Opensolr

Opensolr may suspend or terminate your Account if:

  1. you breach any provision of these Terms, including the Acceptable Use Policy (Section 6);
  2. your Account has an overdue balance beyond the grace period described in Section 7.6;
  3. continued provision of the Service to you would, in our reasonable judgment, pose a security risk or cause harm to other users or to the platform; or
  4. we are required to do so by law or by order of a court or regulatory authority.

Where practicable, Opensolr will provide notice and a reasonable opportunity to cure the breach before termination. In cases of severe or repeated violations, immediate termination without prior notice may apply.

9.4 — Effect of Termination

Upon termination, your right to access and use the Service ceases immediately. Opensolr may delete all Content associated with your Account after a reasonable retention period (not exceeding thirty days from termination), unless a longer retention period is required by law or by a separate agreement.

9.5 — Abuse

Verbal, physical, written, or other abuse β€” including threats β€” directed at any Opensolr employee, customer, contractor, or representative will result in immediate Account termination and may be reported to the appropriate authorities.

10 Demos and Proof of Concept

10.1  Opensolr may, at its discretion, provide demo or proof-of-concept instances of the Service.

10.2  A demo is provided free of charge if the customer proceeds to a paid subscription as presented by Opensolr at the conclusion of the demo period.

10.3  If the customer elects not to proceed with a paid subscription, the demo will be billed at the applicable Opensolr rates for the duration of the demo period. This will be communicated clearly and agreed upon in writing before any demo begins.

11 Intellectual Property and Content Ownership

11.1  Opensolr claims no intellectual property rights over the Content you provide to the Service. Your data remains yours.

11.2  Opensolr does not pre-screen Content, but reserves the right (without obligation) to refuse or remove any Content that:

  1. is the subject of a legitimate copyright infringement complaint from a third party;
  2. constitutes abusive behaviour against the Service (e.g., flood requests exceeding acceptable thresholds);
  3. is violent, defamatory, obscene, pornographic, discriminatory, or otherwise objectionable in nature; or
  4. violates any provision of these Terms or applicable law.

11.3  The visual design, user interface, functionality, and source code of the Service are the exclusive property of Opensolr SRL. All rights reserved. You may not reproduce, duplicate, copy, or reverse-engineer any portion of the Service β€” including HTML, CSS, visual design elements, or functional components β€” without express written permission from Opensolr.

12 Confidentiality

12.1  Any information exchanged between Opensolr and you β€” including but not limited to information transmitted via email, support tickets, or the Service β€” that is reasonably understood to be confidential shall be treated as such by the receiving party.

12.2  Neither party shall disclose the other party's confidential information to any third party without prior written consent, except where required by law, regulation, or court order.

12.3  This confidentiality obligation applies to all recipients of communications from Opensolr SRL, regardless of their Account status or membership level.

13 Data Protection and Privacy

13.1  Opensolr SRL acts as a data controller with respect to your Account information (name, email, billing details) and as a data processor with respect to Content you store in the Service.

13.2  We process personal data in accordance with Regulation (EU) 2016/679 (the General Data Protection Regulation, "GDPR") and applicable Romanian data protection law.

13.3  We collect and process only the personal data necessary to provide the Service, manage your Account, process payments, and communicate with you. We do not sell your personal data to third parties.

13.4  You have the right to access, rectify, erase, restrict processing of, and port your personal data, as well as the right to object to processing, in accordance with the GDPR. To exercise any of these rights, contact us at support@opensolr.com.

13.5  If you store personal data of third parties within the Service (e.g., in your Solr indexes), you are responsible for ensuring that you have the appropriate legal basis to do so and that you comply with applicable data protection laws.

13.6  All data transmitted between you and the Service is encrypted in transit using industry-standard TLS (Transport Layer Security). For details on our security practices, see our Security documentation.

14 Limitation of Liability

14.1  To the maximum extent permitted by applicable law, Opensolr shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, or other intangible losses, even if Opensolr has been advised of the possibility of such damages, resulting from:

  1. your use of, or inability to use, the Service;
  2. the cost of procurement of substitute goods or services;
  3. unauthorised access to, or alteration of, your data or transmissions;
  4. statements or conduct of any third party on or through the Service;
  5. interruptions caused by third-party infrastructure providers; or
  6. any other matter relating to the Service.

14.2  In no event shall Opensolr's total aggregate liability to you for all claims arising out of or relating to the Service exceed the total amount you paid to Opensolr during the twelve (12) months immediately preceding the event giving rise to the claim.

14.3  Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.

15 Indemnification

You agree to indemnify, defend, and hold harmless Opensolr SRL, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  1. your use of the Service;
  2. your violation of these Terms;
  3. your violation of any applicable law or regulation;
  4. any Content you upload, store, index, or transmit through the Service; or
  5. your infringement of any third party's intellectual property or other rights.

16 Modifications to the Service and Pricing

16.1  Opensolr reserves the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of any material changes that affect your existing subscription.

16.2  Prices for the Service are subject to change. Price changes will be communicated in advance and will take effect at the start of your next billing period. Continued use of the Service after a price change constitutes acceptance of the new pricing.

16.3  Opensolr shall not be liable to you or to any third party for any modification, price change, suspension, or discontinuation of the Service, provided that reasonable notice has been given.

17 Force Majeure

Neither party shall be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, flood, pandemic, power outages, internet or telecommunications failures, cyberattacks, or actions of third-party service providers. The affected party shall notify the other party promptly and use reasonable efforts to mitigate the impact.

18 General Provisions

18.1 — Entire Agreement.  These Terms, together with any applicable MSA, constitute the entire agreement between you and Opensolr regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.

18.2 — Severability.  If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall continue in full force and effect.

18.3 — Waiver.  The failure of Opensolr to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by Opensolr to be effective.

18.4 — Assignment.  You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Opensolr. Opensolr may assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets.

18.5 — Notices.  Opensolr may provide notices to you via email to the address associated with your Account, or through the Service. You may send notices to Opensolr at support@opensolr.com.

19 Governing Law and Dispute Resolution

19.1  These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to its conflict-of-law provisions.

19.2  Any disputes arising out of or in connection with these Terms shall first be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved within thirty (30) days, it shall be submitted to the exclusive jurisdiction of the competent courts in Cluj-Napoca, Romania.

19.3  If you are a consumer resident in the European Union, nothing in this section affects your rights under mandatory consumer protection laws of your country of residence, including your right to bring proceedings in your local courts.
